We are looking to recruit to a newly created role a Deputy Group Company Secretary who will be responsible for the overall management, coordination and administration of the global secretariat activities at subsidiary level ensuring the Mace governance framework is consistently applied and embedded across the Mace Group and is in line with the UK Corporate Governance Code.

Works closely with the Group Company Secretary, oversees and supports the implementation of the governance framework and is accountable for team leadership and portfolio KPIs and OKDs (objectives and key deliverables).

You'll be responsible for:
  • Oversees the corporate secretarial compliance of all companies and branches within the Group.
  • Holds full accountability for the line management of the Company secretariat team - setting priorities, coordinating the overall work programme, providing direction and support, carrying out appraisals, salary reviews etc.
  • Owns the management of the global corporate meetings calendar.
  • Leads providing support to key subsidiaries and statutory boards including maintaining a forward programme of agenda items to ensure compliance with statutory and regulatory best practice.
  • Oversees the preparation and distribution of board packs with support from the team, minute taking and issue of minutes and actions to the boards.
  • Responsible for coordinating with the Finance team on the application of recapitalisations and capital reductions, dividends, intercompany loans, treasury matters etc.
  • Holds responsibility for providing oversight to ensure maintenance of all statutory records for Group and subsidiary companies using company secretarial software.
  • Responsible for supporting statutory directors and management teams on corporate responsibilities including induction, training, delegation of authority, conflicts of interest etc.
  • Providing support where required to the business on bid proposals and issuing powers of attorney.
  • Drives monitoring developments in corporate governance and regulatory changes, best practices and recommend changes to the Group company secretary.
  • Provides support to the Group company secretary, providing corporate updates as required, best practice, and to ensure consistent corporate governance to be applied across the group.
  • Maintains, cultivates and establishes a strong collaborative network, developing partnerships with key senior internal and external stakeholders.
  • Inputs into strategic development for area/portfolio and executes strategy for designated company secretarial portfolio.
  • Manages, influences and negotiates with key senior stakeholders (up to c-suite) on matters of strategic importance.
  • Works collaboratively towards the common goal of net zero carbon transition and share responsibility for the proactive identification and management of the associated carbon emissions and reductions during the delivery of work.
You'll need to have:
  • A relevant degree qualification.
  • Chartered secretary (ACIS or FCIS) or equivalent level of professional qualification and experience.
    Substantial governance experience at board and sub-board levels.
  • Strong understanding of the companies Act 2006 and supporting legislation.
  • Good working knowledge of the UK corporate governance code and a broad awareness of equivalent legislation in other key jurisdictions.
  • Proven years of experience at a senior level within the company secretarial department of large-sized global organisation.
  • Experienced in annual reporting: S172 and governance report.
  • A knowledge of ESG reporting requirements.
  • Strong technical knowledge and ability to interpret, communicate and apply corporate law and governance .
  • Ability to use IT systems including Microsoft Word and Excel and global entity management software such as Blueprint or GEMS.
  • Ability to manage, influence and negotiate with key senior stakeholders.

    Drives the strategic implementation of developing processes, managing and delivering change.
You'll also have:
  • Experienced in developing and implementing a corporate governance framework.
  • Knowledge of how carbon and sustainability considerations will shape the outlook of the projects you are working on.
